EDC Learning Platform Terms of Use

Effective date: September 1, 2026

These Terms of Use ("Terms") govern individual access to and use of Education Development Center, Inc.’s ("EDC") online learning platform, including associated courses, content, tools, materials, discussion features, and services (the "Platform").

1. Agreement and Related Agreements

By clicking to accept these Terms, activating an account, or accessing or using the Platform, you agree to these Terms and the EDC Learning Platform Privacy Notice. If you do not agree, you may not use the Platform.

If access is purchased under a proposal, order form, or other agreement with EDC (a "Purchasing Agreement"), the Purchasing Agreement governs fees, payment, cancellation, rescheduling, refunds, and EDC’s commercial relationship with the purchaser. These Terms govern each participant’s account, conduct, and use of the Platform. If the documents conflict, the Purchasing Agreement controls on commercial matters and these Terms control on individual Platform use and conduct.

2. Eligibility and Accounts

You must be at least 18 years old to use the Platform. EDC may create an account using information supplied by you or an organization sponsoring your participation. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. You may not share your account or permit another person to use it. Notify EDC promptly if you believe your account has been accessed without authorization.

3. Purchases and Refunds

Course descriptions, prices, availability, and any applicable refund or cancellation terms will be identified in the applicable course offering or Purchasing Agreement. Except as expressly stated there or required by law, fees are nonrefundable. EDC may correct pricing, description, or availability errors before accepting or fulfilling an order. Nothing in this section limits rights that cannot lawfully be waived.

4. Course Materials and Permitted Use

EDC and its licensors retain all rights in the Platform and course materials, including text, curricula, presentations, recordings, videos, graphics, assessments, downloads, software, and other content ("Course Materials").

Subject to these Terms and any applicable Purchasing Agreement, EDC grants you a limited, nonexclusive, nontransferable, revocable right to access the Platform and to view, download, and print Course Materials made available for download solely for your personal, noncommercial educational use.

Unless EDC expressly authorizes it in writing, you may not:

• share your account or Course Materials with another person;

• copy, reproduce, distribute, publish, display outside the Platform, sell, resell, lease, sublicense, transfer, assign, commercially exploit, or use Course Materials for the benefit of another person or organization;

• modify, translate, or create derivative works from Course Materials;

• remove copyright, trademark, attribution, or other proprietary notices; or

• use Course Materials to train or develop an artificial-intelligence or machine-learning system.

Course-specific instructions may grant additional permissions. Those permissions apply only to the identified materials and uses.

5. Participant Content and Feedback

The Platform may permit you to submit comments, discussion posts, assignments, files, feedback, or other content ("Participant Content"). You retain ownership of your Participant Content and are responsible for ensuring that it is lawful, accurate, appropriate, and that you have the right to submit it.

You grant EDC a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, and otherwise use Participant Content only as reasonably necessary to provide, administer, moderate, evaluate, secure, and improve the Platform and related courses.

If you voluntarily provide ideas, suggestions, or other feedback about the Platform or EDC’s services ("Feedback"), EDC may use the Feedback without restriction or compensation to you. This does not permit EDC to publicly identify you or disclose personal information except as described in the EDC Learning Platform Privacy Notice.

Do not submit confidential or sensitive personal information, health information, payment-card information, or another person’s personal information except as required for registration and enrollment in the Platform. EDC does not require users to include sensitive personal information in assignments, discussion posts, comments, uploads, or other Participant Content.

6. Prohibited Use

You may not use the Platform to:

• violate applicable law or another person’s intellectual-property, privacy, confidentiality, or other rights;

• submit false or misleading information or content that is unlawful, fraudulent, threatening, harassing, defamatory, obscene, deceptive, or harmful;

• obtain or attempt to obtain another user’s password, account information, or other security information;

• introduce malicious code; circumvent authentication, security, license, timing, or access restrictions; or interfere with the Platform’s security, integrity, availability, or operation;

• access another account, system, or information you are not authorized to access;

• use bandwidth or storage resources in an unreasonable or disproportionate manner;

• scrape, monitor, copy, reverse engineer, decompile, disassemble, or attempt to discover the Platform’s source code or underlying structure, except to the limited extent such a restriction is prohibited by law; or

• use the Platform to build or support a substantially similar or competitive product or service.

EDC may review, restrict, or remove Participant Content and may suspend or terminate access when reasonably necessary to address misuse, protect users or the Platform, comply with law, or enforce these Terms.

7. Third-Party Tools and Links

The Platform may provide access to third-party tools, resources, or websites. EDC does not control and is not responsible for third-party content, availability, security, or privacy practices. Links do not imply endorsement. Your use of a third-party service may be governed by that service’s terms and privacy policy.

8. Availability and Educational Purpose

EDC may modify, suspend, or discontinue any part of the Platform or a course and may limit access when reasonably necessary for maintenance, security, legal compliance, course administration, or operational needs. EDC does not guarantee uninterrupted or error-free availability or any particular educational, professional, certification, or other result.

The Platform and Course Materials are provided for education and general information and are not a substitute for independent professional judgment. To the maximum extent permitted by law, the Platform and Course Materials are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

9. Privacy

EDC handles personal information as described in the EDC Learning Platform Privacy Notice. Depending on course design, Participant Content and information about enrollment, participation, progress, assessment, completion, or certification may be visible to instructors, administrators, other participants, or an organization sponsoring or purchasing your participation.

10. Confidentiality

In connection with the Platform or a course, you may receive information that EDC or a third party identifies as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure (“Confidential Information”). You may use Confidential Information only for your authorized participation in the applicable course or program and may not disclose it to another person except as authorized by EDC in writing or required by law. Confidential Information does not include information that you can demonstrate is publicly available through no breach of these Terms, was lawfully known to you without restriction, was lawfully received from a third party without a confidentiality obligation, or was independently developed without use of Confidential Information. If disclosure is legally required, you must, to the extent permitted by law, give EDC reasonable prior notice.

11. Suspension and Termination

You may stop using the Platform at any time. EDC may suspend or terminate your access if you violate these Terms; if a course or Purchasing Agreement ends; or when reasonably necessary to protect EDC, users, or the Platform, comply with law, or address security or operational risks. Upon termination, your right to use the Platform and Course Materials ends. Provisions that by their nature should survive termination—including provisions concerning ownership, Participant Content licenses, disclaimers, liability, indemnification, and governing law—will survive.

12. Limitation of Liability

To the maximum extent permitted by law, EDC and its trustees, directors, officers, employees, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, savings, data, goodwill, or replacement costs, arising out of or relating to the Platform, Course Materials, or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, EDC’s aggregate liability arising out of or relating to the Platform, Course Materials, or these Terms will not exceed the amount paid to EDC for the course giving rise to the claim. These limitations do not apply to liability that cannot lawfully be limited or excluded.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless EDC and its trustees, directors, officers, employees, agents, affiliates, licensors, and service providers from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys’ fees arising from your Participant Content, your violation of applicable law or another person’s rights, or your material breach of these Terms. This obligation does not apply to the extent a claim results from EDC’s own negligence or willful misconduct.

14. Governing Law; Severability; Entire Agreement

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. If any provision is held unlawful or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

These Terms, the EDC Learning Platform Privacy Notice, any course-specific terms, and any applicable Purchasing Agreement constitute the agreement governing your use of the Platform. A Purchasing Agreement remains controlling to the extent described in Section 1. No waiver is effective unless made in writing by EDC, and a waiver on one occasion is not a waiver on another.

15. Changes and Contact Information

EDC may update these Terms from time to time. EDC will post the updated version and provide additional notice when required by law. The effective date above identifies the version currently in effect. Changes will apply prospectively unless applicable law permits otherwise.

Questions about these Terms may be directed to [email protected] or Education Development Center, Inc., 300 Fifth Avenue, Suite 2010, Waltham, MA 02451.
